OrionKit Pro License

This license is an agreement between you ("you", the "Licensee") and Romaine Whyte ("Licensor") for OrionKit Pro. By purchasing, downloading or using OrionKit Pro you accept these terms.

1. Definitions

• "Kit" means OrionKit Pro: its source code, scripts, tests, documentation and any updates Licensor provides.
• "End Product" means software, a service or a device you build with the Kit that adds substantial functionality of your own, for example a voice assistant for your users, an internal tool, or a client project.
• "Developer" means one natural person who reads, writes or modifies the Kit's source code.

2. License grant

Subject to these terms and payment, Licensor grants you a perpetual, worldwide, non-exclusive, non-transferable license for one Developer to:

1. use, copy and modify the Kit;
2. build an unlimited number of End Products, for yourself or for clients, free or commercial; and
3. distribute, sell, host and operate those End Products, including the Kit in compiled, packaged or embedded form as part of them.

Each additional Developer on a team needs their own license. Others may use your End Products (for example your customers or your client's staff) without a license.

3. Restrictions

You may not:

1. resell, sublicense, share, publish or give away the Kit or a substantial part of its source code on its own, whether as is or modified, free or paid. Keeping the source in private repositories for your own End Products is allowed;
2. use the Kit to create a product whose main purpose is to give others a starter kit, boilerplate, template, framework or library that competes with OrionKit;
3. let more Developers use the Kit than you have licenses for;
4. remove or alter copyright and license notices in the Kit's source files; or
5. use the Kit to break any law, or to run tools (shell commands, file access, smart-home control) on systems you have no right to control.

4. Open-source and third-party components

The OrionKit Core voice engine is also published under the MIT License, and those files may be used under either license. The Kit downloads or depends on third-party software and models under their own licenses, including Kokoro-82M (Apache-2.0), Faster-Whisper and Whisper (MIT), Silero VAD (MIT), sherpa-onnx (Apache-2.0), the Model Context Protocol SDK (MIT) and Ollama models (various). Those licenses govern those components and are not changed by this license. Note that openWakeWord's pretrained models are licensed CC BY-NC-SA 4.0 (non-commercial); the default "Hey Orion" wake word does not use them.

5. Third-party services

The Kit can call services such as Anthropic, Google Gemini, Ollama and Home Assistant using your own accounts and API keys. You are responsible for those accounts, their terms and their charges. The Kit includes no API credit.

6. Updates and support

Your license includes lifetime updates to OrionKit Pro, for as long as Licensor continues to publish it. Support is provided by email on a reasonable-efforts basis, with no guaranteed response time or service level. Licensor may change, add or remove features in updates.

7. Refunds

You may request a full refund within 7 days of purchase. When a refund is issued, this license ends: you must stop using the Kit and delete your copies, except within End Products you already distributed.

8. Ownership

Licensor keeps all rights, title and interest in the Kit. You own your End Products and your own modifications, subject to Licensor's rights in the underlying Kit. If you send suggestions or feedback, Licensor may use them without obligation to you.

9. Termination

This license ends automatically if you breach it and do not cure the breach within 14 days of notice. On termination you must stop using the Kit and delete your copies. End Products you distributed before termination, in compliance with this license, may continue to be used by their recipients. Sections 3, 4, 8, 10, 11, 12 and 13 survive termination.

10. No warranty

THE KIT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. AI MODELS CAN PRODUCE INCORRECT OUTPUT AND AGENT TOOLS CAN TAKE ACTIONS ON YOUR SYSTEMS; YOU ARE RESPONSIBLE FOR REVIEWING, CONFIGURING AND SUPERVISING THEM.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THE KIT OR THIS LICENSE. LICENSOR'S TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE LICENSE.

12. Indemnity

You will defend and indemnify Licensor against third-party claims arising from your End Products, your use of third-party services through the Kit, or your breach of this license.

13. General

This license is governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. It is the entire agreement about the Kit and replaces earlier versions for purchases made after its effective date. If a provision is unenforceable, the rest remains in effect. You may not assign this license without Licensor's written consent. Licensor may publish revised versions for future purchases; your purchase stays under the version in effect when you bought it.
